Thank you for choosing Universal Pass. Please note that we reserve the right to terminate any account should we feel that the Terms & Conditions are not being met. Termination of an account may result in the forfeiture of all accrued funds and a permanent blacklisting from our programs.

Note: You must be 18 or 21 years of age, depending on your local jurisdiction, to participate in the program.

1.- Your site must contain adequate 'content' for an Universal Pass customer without having to purchase any further memberships. Adequate 'content' is subject to our discretion, but generally means at least 25 pictures/images/stories/videos. These are loose subjective guidelines, the main thing we look for is a definite benefit for the Universal Pass customers without requiring them to pay additional fees. Sites which require further membership fees must provide adequate 'content' without the Universal Pass customer having to pay those membership fees in order to be listed on our Links Page(s).

2.- Your site may not (leech) link to other site's images/pictures/logos/graphics, not owned or controlled by you, unless you have prior consent from the owners of that site(s). You also may not post Passwords or hidden URLs of sites with the intention of defeating that site(s) protective measures or membership fees without the consent of that site.

3.- Your site may not display, publish, link to, or provide access to any images, pictures, stories, video clips or any other media portraying any content that is deemed illegal in the United States. Any site containing content deemed illegal in the United States will be removed from our Links Page and the account will be de-activated upon discovery.

4.- You must place your site in the appropriate Category of the Links Page(s), display the correct URLs to your Warning page where your Universal Pass script is located or access to that script is located, and the description of your site must be accurate. Any deceptive information placed on our Links Page by you for your site will cause your site to be removed from the Links Page permanently and without warning.

5.- Multiple sites owned by the same person or entity must be designed as individual sites each containing their own individual Warning Pages and Content Pages, and may not be listed more than once on our Links Page under the same or different names.

6.- You are responsible for providing and maintaining all content, material, products, and/or services on your site. Dominant Web Inc, Universal Web Technologies Inc. is not responsible for any content you place on your site. You agree to indemnify and defend Dominant Web, Inc, Universal Web Technologies Inc. and all of its shareholders, officers, directors agents and employees against any claim arising from the operation of and/or the content of your site(s). Webmaster shall be solely responsible for obeying all applicable laws, including obtaining and properly maintaining all records or information that may be required under 18 USC section 2257 and related regulations.

7.- Webmaster shall not promote unlawful activities that might be deemed unlawful by any State or Federal agency or by any Federal, State or local laws, regulation, statute or ordinance.

8.- When and if your site is going to be temporarily unavailable, you need to contact WMSUPPORT@UNIVERSALPASS.COM with an estimated length of downtime so we may arrange to keep your account open during the duration of your downtime. We regularly check the Links pages for bad links, if we come across a site that we cannot access or cannot locate the Universal Pass script - that link will be removed from the Links page.

9.- The name of your Site on our Links Page must match the name displayed on your site. You may not add numerical or non-alphanumerical characters to your Site name to get listed higher in the Links page. Site names may be changed at our discretion.

10.- Payout rates are subject to change, and can vary for high risk countries, or webmasters with higher than normal chargeback rates. Current payout structure is $20 on all standard sales, $10 for bonus backout sales, and $15 for webmasters using our high risk processor. High risk countries include but are not limited to Russia, Ukrain, Romainia etc.

11.- Only sites using the Universal Pass script to protect their site or a portion of their site will be listed on the Links Page. Sites only participating in link exchange or banner exchange programs will not be listed in the protected sites area.

12.- There will be no compensation for technical dysfunction should it result in downtime or other inconveniences. In the event of termination of this agreement advertisers will cease to use all content, banners, graphics and logos on their sites as all marketing tools are held under our copyright. Recurring revenues as a result of member reactivations will only be paid out to Partners while the Webmaster's account is active. In the event that a Webmasters account is closed for any of the reasons included in these Terms & Conditions the webmaster will cease to accumulate recurring revenues.

13.- We reserve the right to cancel this program at any time, without prior notification. In such cases you will be notified immediately and paid for ALL accumulated funds up to that point in time, except in cases where it is determined you have cheated by violating this agreement in any way YOU WILL NOT BE PAID!!

14.- We do not accept sites that endorse: child pornography, bestiality. Any hits and/or sales sent from sites like these will be dropped WITHOUT PAY, and the authorities contacted.

15.- We have ZERO-TOLERANCE for SPAMMING, cheating and unethical Internet business practices. This includes any and all outlets such as UNSOLICITED BULK E-MAILS, IRC, news groups. Any site Operator found to be utilizing any of the above mentioned, or other unethical Internet business practices will be dropped from our programs. Any accounts owed will be forfeit and we may pursue legal action.

CHEATERS WILL NOT BE PAID AND WILL BE TERMINATED FROM
